Court stacks the odds against Murdoch/Gordon in the battle for Network Ten

The key to the future ownership of Network Ten sits in the hands of a bunch of its journalists, admin staff, television personalities, producers and operations technicians.

These staff will either vote in favour of US giant CBS's bid getting over the line or to adjourn Tuesday's creditors meeting in order that they can consider a rival offer from Lachlan Murdoch and Bruce Gordon.

By number the 750-strong staff are the crucial group and hold the balance on the show of hands required at the meeting. The largest creditor by value - the other measure that matters in a vote - is CBS which will clearly vote in favour of its own bid.

The last ditch legal attempt from Gordon's private company, WIN, to limit CBS's voting power and challenge the Ten Creditors Report as deficient was thrown out by the Supreme Court on Monday, paving the way for the creditors meeting to go ahead.

And from what is understood of the proxies from the staff, they will be overwhelmingly in favour of CBS.

While Murdoch and Gordon have improved their offer, their new bid announced on Friday and the CBS deal both involve fully paying staff entitlements - thus the staff shouldn't be swayed either way. Both proposals are promising no job cuts.


There are some smaller creditors - both in size or in number but they don't have the votes to overturn CBS or the staff.

Internally the staff were also less than impressed by the fact that under the Murdoch/Gordon proposal some of Ten's property leases would be broken and in Sydney for example the newsroom would move out north to Sky Television's studios at Macquarie Park.

Thus we could see a situation on Tuesday where creditors vote in favour to endorse what is in theory an inferior outcome across all creditors.

There will undoubtedly be some discussion and questions to administrators, KordaMentha about the details of the new Murdoch/Gordon proposal.


One can expect the second largest creditor 21st Century Fox - a Murdoch family-controlled company, to be pushing hard for an adjournment.

But ultimately the creditors get to vote - not the administrators.

It's too early to say that the battle is over. The fat lady is only just warming up.

There will be an opportunity for aggrieved creditors to have their say when the deal goes for to the court to be rubber stamped.

It remains to be seen whether Murdoch and Gordon will be able to find other legal avenues to torpedo the CBS deal - assuming creditors vote in favour of it on Tuesday.

In Monday's court decision the judge made it clear that it was not within his scope of to consider an alternative offer. He was merely assessing whether CBS could vote and whether the creditor's report contained the all the relevant information that was required.

He decided yes to both.

"It will be a matter for creditors at that meeting to determine whether that meeting should be adjourned by reason of, inter alia, any recent commercial developments, or for any other reason," Justice Ashley Black concluded.

Justice Black said the question for the court was "not, and should not be, which of any competing commercial proposals put by interested parties would be most advantageous to the creditors of the Ten Group companies" including employees and shareholders.

"That is a matter properly left for their decision," he said.

The main stakeholders in this game that would be in favour of the Murdoch/Gordon deal would be the Ten shareholders who stand to see some value preserved for their equity.

But they don't get a vote. And ironically they can blame the two billionaires for this because they effectively forced Ten into administration.

Had the Murdoch/Gordon duo bid for Ten while it was a listed and solvent company they could have held most of the cards given they were large shareholders.

It is a strategy that has monumentally backfired. They appear not to have entertained the fact that CBS - which is already a part owner of Ten's Eleven Channel - would have come in as an alternate bidder.

Murdoch and Gordon also miscalculated the difficulty in getting the changes in media ownership laws through the parliament - launching their bid too early.

In doing so the billionaires may have lost the Ten prize and the opportunity to restore the network to profit absent the onerous programming contracts and the government licensing fees.

At the very least they appear to be now in an inferior position. But it's too early to say that the battle is over.

The fat lady is only just warming up.

Yes I saw that! And damn right the staff should have their say (just as staff where i once worked got to vote when our company went bust in 2001). I can't imagine there'd be much love for Rupert amongst their staff. I'm sure they are still being paid as normal, but all their annual leave, long service leave, possibly their latest Super payments as well, all add up and that's why they are big creditors, because money for those things needs to be available.

The "Ten shutting down" tip was really just a joke tip for a laugh. The chances of it happening were very remote which is why it's worth 1000 points. Somebody could yet take it out though! :eek:

...it says there that the staff are leaning towards CBS... they already have a vested interest in Channel 11 so it seems that they will just go with that flow regardless... good on them!... fuck Murdoch and his cronies... a change is as good as a holiday... besides... doesn't CBS run Big Brother in the USA?... who knows... it may reappear here on Channel 10 once again if CBS buy it so I'm all for it for that reason alone lol!... cheers.

Seems like everything Hans picked is more or less happening in different ways. It will be interesting to see Luke and Peter on tomorrows episode.

...and... here we have it... as of 15 minutes ago CBS now owns Channel 10... they have also stated that all of Channel 10's programs stay the same!... woohoo!... on this website below... cheers.

CBS wins battle for Ten Network's future, trumping Murdoch and Gordon bid

fter a one-hour creditors' meeting, US media giant CBS has emerged as the victorious bidder for the struggling Ten Network.
Key points:
  • Partner of Ten's administrators says CBS bid offered "the best return to creditors"
  • Gordon and Murdoch had tried to scuttle the CBS bid, but NSW Supreme Court ruled against them
  • They are yet to lodge appeal against ruling
This is the second defeat for Australian media moguls Lachlan Murdoch and Bruce Gordon in two days.

Their unsuccessful bid to take over Ten follows Monday's decision by the Supreme Court of NSW.

The court ruled it would not restrain today's second creditors' meeting, nor would it restrict CBS's voting rights.

The big question on everyone's mind is whether Mr Gordon and Mr Murdoch will appeal against the court's decision.

After the meeting, Mark Korda, the partner of Ten's administrators KordaMentha, told reporters the disappointed duo have not yet lodged an appeal.

That confirmed what the NSW Court of Appeal told the ABC this morning.

"If other parties want to challenge that decision, they have their legal rights to do so," Mr Korda said.


What happened at creditors' meeting?
Two votes were put forward to the creditors today.

The first was whether to adjourn the meeting to another date, which they decided not to do.

The second vote was on the substantive matter of whether creditors preferred CBS's bid, or the joint Gordon-Murdoch bid.

"The creditors have decided on the future of Ten," Mr Korda said.

"What they decided was to vote — more than 50 per cent in value [of votes] and more than 50 per cent in number [of individual voters] to accept the CBS deed of company arrangement."

In terms of the numbers of voters, he said it was an "overwhelming vote in favour of CBS".

During the meeting, a change was made to CBS's revised bid, submitted to Ten's administrators on Monday evening.

It is understood CBS's new bid will pay unsecured creditors just over $40 million — $8 million higher than its original bid.

It comes after media moguls Bruce Gordon and Lachlan Murdoch submitted their latest bid last Friday, upping their offer to unsecured creditors from $35 million to $55 million.

"[CBS] increased their offer to Fox — their proposal is to negotiate with Fox a new content agreement," Mr Korda said.

"Failing that, a payment of $12 million, that was increased from up to $3.4 million."

Mr Korda said the CBS bid offered "the best return to creditors" and had "the least execution risk".

Future of Ten Network
"It's pretty much business as usual for employees and for the program," Mr Korda said.

He confirmed the CBS takeover would be finalised within four to five weeks in what he called a "short settlement".

In the meantime, CBS is still waiting for the Foreign Investments Review Board (FIRB) to approve its takeover of the Ten Network.

When asked about his thoughts about Ten's future, Mr Korda said: "The industry is excited about $27-billion big brother [CBS] looking after Channel Ten."

Korda Mentha expects to release the final voting results on Wednesday or Thursday.
 
As it says, FIRB still has to ok it, but I think that's a fait accompli. Hooray!

...as I said in a previous post Timmy... CBS loves 'Big Brother' in the USA... I hope that they think of re-introducing it back onto the Australian screens on it's original birthplace on Channel 10 yet again... I swear...
